Parlamentul Republicii Moldova a adoptat modificări și completări la Legea privind societățile cu răspundere limitată, în secțiunea privind dobândirea calității de asociat în baza succesiunii. Dintre cele mai importante modificări, menționăm următoarele: 

• La dobândirea prin succesiune a unei părți sociale în cadrul unei societăți cu răspundere limitată, succesorul devine asociat de drept, cu excepția cazului în care actul de constituire prevede că dobândirea acestei calități este condiționată de acordul asociaților;
• Dacă - potrivit actului de constituire - dobândirea calității de asociat prin succesiune este subordonată acordului asociaților, iar aceștia refuză succesiunea, orice asociat sau societatea are obligația de a dobândi partea socialș a succesorului în condțiile prevăzute de lege;
• Succesorul este în drept să solicite înregistrarea de stat a dreptului său asupra părții sociale dobândite prin succesiune dacă în termen de trei luni de la data prezentării actului confirmativ nici unul dintre asociați, și nici societatea, nu a dobândit partea socială respectivă;
• Partea socială se consideră de drept a dobânditorului prin succesiune din momentul înregistrării acestui fapt în Registrul de stat al persoanelor juridice, fără a fi necesară modificarea actului de constituire al societății.

The Parliament has approved amendments and supplements to the Law on limited liability companies, covering the procedure on becoming a company shareholder by means of inheritance (succession).

The most important amendments include:

• Upon obtaining shares in a limited liability company by means of inheritance, the heir (successor) becomes shareholder by virtue of law unless the company's articles of incorporation provide that obtainment of such capacity is subject to the approval of the shareholders;
• If the company's articles of incorporation provide that becoming a shareholder by means of inheritance is subject to the approval of the shareholders and if the shareholders refuse such inheritance, any shareholder or the company is required to acquire the inherited shares, under the conditions provided by the law;
• The heir is entitled to request state registration of his / her right over the inherited shares, if within three months as of the date of submitting the inheritance title none of the shareholders or the company have acquired the respective shares;
• The inherited shares are considered to be owned by the heir as of the registration of his / her rights over the respective shares in the state Register of legal entities, without amending the company's articles of incorporation.
